What does Level Up Media Group do?
Level Up Media Group is an investor engagement and consulting firm. We plan and run investor relations programs, disclosed investor awareness campaigns, corporate communications, social and community management, capital markets advisory, and digital IR with answer engine optimization (AEO) for public and private companies in the United States and Canada.
Do you work with private companies or only public ones?
Both. Private companies use us to build their equity story, investor materials, and digital presence, and to plan communications around a raise or a future listing. Public companies use us for ongoing investor relations, investor awareness, and uplisting preparation.
How do we get started?
Email contact@levelupm.com or use the contact form with your company name, ticker if you have one, and what you want to change. We review your public materials, hold a strategy call, and send a written proposal that lists the scope, deliverables, and fees before any work begins.
How is pricing set?
Pricing depends on scope: which services, how many channels, and for how long. Every proposal itemizes deliverables and fees in writing, and paid media budgets are listed separately from our fees.
Who approves content that speaks for our company?
You do. We agree on an approval process at kickoff, and anything that speaks for the company goes to your team, and to your counsel where appropriate, before it's published.
What reporting do we get?
Weekly reports during active campaigns and monthly reports for ongoing programs, covering what was published, where, reach, engagement, inquiries, and what we'll change next.
Compliance and disclosure
Are paid investor awareness campaigns legal?
Yes, when the content is truthful and the payment is disclosed. Section 17(b) of the Securities Act of 1933 requires anyone paid to publicize a security to disclose that payment and its amount. Every paid placement we run includes that disclosure and who paid, and we never publish price targets or predictions.
Is Level Up Media Group a broker-dealer or investment adviser?
No. Level Up Media Group LLC is not a broker-dealer, investment adviser, or research firm. We don't sell securities, give investment advice, or take transaction-based compensation.
What is a Section 17(b) disclosure?
Section 17(b) of the Securities Act of 1933 makes it unlawful to publicize a security in exchange for compensation from an issuer, underwriter, or dealer without fully disclosing the compensation, whether past or future, and its amount. In practice, paid content about a stock must say it's paid and how much was paid.
Do you share nonpublic information with investors?
No. We only communicate information the company has already made public. Material news is released broadly first, by press release and, for SEC-reporting companies, a Form 8-K where required.
Do the creators you work with disclose they are paid?
They must. Our agreements require creators and publishers to disclose their compensation clearly in every paid post, consistent with Section 17(b) and the FTC's endorsement rules, and we keep a log of published placements.
Public companies
Which markets do you work with?
We work with companies quoted or listed on OTC Markets (OTCQX, OTCQB, and the OTCID Basic Market), the Canadian Securities Exchange, the TSX Venture Exchange, Nasdaq, and NYSE American, and with private companies preparing for any of them.
What is an investor awareness campaign?
It's a paid marketing program that introduces a public company to investors who don't know it yet, using channels such as social media, newsletters, video, and financial media. A compliant campaign is factual, based on public information, and discloses who paid for it.
What is uplisting?
Uplisting is moving a company's shares from a lower-tier market, such as OTC Markets, to a national securities exchange such as Nasdaq or NYSE American. It requires meeting the exchange's initial listing standards and corporate governance rules, and it is usually a project of several months.
Can you run a campaign while we're raising capital?
Only if your securities counsel approves the timing. Promotional activity during an offering can create legal risk, so we plan awareness work around offerings and blackout periods with your counsel.
Private companies
Can you help us raise money?
We prepare you to raise: the equity story, deck, data room outline, and digital presence investors will check. We don't solicit investors, sell securities, or take transaction-based fees. When you need a placement agent, work with a FINRA-registered broker-dealer.
What can a private company say publicly while raising?
It depends on the exemption. Under Rule 506(b) of Regulation D, general solicitation is not allowed; under Rule 506(c), it is allowed if every purchaser is a verified accredited investor; and Regulation A+ allows testing the waters. We plan communications with your counsel so they fit the exemption you're using.
What's the difference between an IPO and a reverse takeover?
In an IPO, a private company registers and sells new shares to the public, usually through an underwriter. In a reverse takeover (RTO), a private company merges into an existing public company and its owners take control. An RTO can be faster, but it brings the public company's history, liabilities, and shareholder base with it, so it needs careful diligence.
AEO and digital
What is answer engine optimization (AEO)?
AEO is the practice of structuring a website and its content so AI assistants and answer engines, such as ChatGPT, Perplexity, Google's AI features, and Bing, can find, understand, and accurately cite it. It overlaps with SEO but focuses on direct answers, structured data, and consistent facts across sources.
How is AEO different from SEO?
SEO aims to rank pages in a list of search results. AEO aims to make your page the source an engine uses when it writes an answer. Both depend on fast, crawlable, well-structured pages; AEO puts more weight on question-and-answer content, structured data, and factual consistency.
Can you control what AI assistants say about our company?
No one can control it directly. We improve the sources they draw on, including your website, structured data, and public profiles, so accurate information is easier to find than inaccurate information.
